Welcome to Onu, provided by Postly Technologies, Inc. ("Onu," "we," "us," or "our"). By accessing or using our website, mobile applications, or services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please do not use our Services.

These Terms govern your use of the Services, including any features, content, or integrations provided. We may update these Terms periodically, and continued use of the Services constitutes acceptance of the updated Terms.

a. Permitted Use: You may use the Services for personal or business purposes as permitted by these Terms and applicable laws. The Services may include voice command features, financial data integrations (e.g., via Plaid), and personalized insights.

b. Prohibited Conduct: You agree not to:

• Use the Services for illegal activities or to violate any laws.
• Attempt to reverse-engineer, hack, or interfere with the Services.
• Use the Services to transmit malicious code or engage in harmful activities.
• Impersonate others or provide false information.

a. Ownership: All content, software, and materials provided through the Services, including text, graphics, logos, and code, are owned by Onu or its licensors and protected by intellectual property laws.

b. License: We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for personal or business purposes, subject to these Terms. You may not copy, modify, distribute, or create derivative works from the Services without our written permission.

c. User Content: Any content you submit (e.g., voice recordings, feedback) remains yours. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and process it to provide and improve the Services.

The Services may integrate with third-party providers, such as Plaid for financial data or AWS SES for email communications. These providers have their own terms and privacy policies, which you agree to comply with when using integrated features. We are not responsible for the practices of third-party providers.

Our Privacy Policy governs how we collect, use, and protect your data, including personal information, voice recordings, and financial data accessed via APIs. By using the Services, you consent to our data practices as outlined in the Privacy Policy.

a. Voice Data: Voice commands and ambient recordings are encrypted and processed securely. We do not share this data without your explicit consent.

b. Financial Data: Financial data accessed via providers like Plaid is read-only and encrypted. We do not store sensitive credentials.

b. By Us: We may suspend or terminate your access to the Services if you violate these Terms, engage in prohibited conduct, or for other legal or operational reasons. Upon termination, your account data will be deleted in accordance with our Privacy Policy.

To the fullest extent permitted by law, Onu and its affiliates, officers, directors, employees, or agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services, including loss of data, profits, or business opportunities.

Our total liability for any claims related to the Services will not exceed the amount you paid us (if any) in the 12 months prior to the claim. Some jurisdictions do not allow certain limitations, so these may not apply to you.

a. Governing Law: These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of law principles.

b. Arbitration: Any disputes arising from these Terms or the Services will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration will take place in Delaware, USA, unless otherwise agreed. You waive the right to participate in class action lawsuits.

c. Exceptions: Disputes involving intellectual property or equitable relief may be resolved in a court of competent jurisdiction.

We may update these Terms to reflect changes in our Services or legal requirements. We will notify you of material changes via email, in-app notifications, or by posting the updated Terms on our website. Continued use of the Services after such changes constitutes acceptance of the new Terms.
