1. Acceptance of Terms
Welcome to Onu, provided by Postly Technologies, Inc. ("Onu," "we," "us," or "our"). By accessing or using our website, mobile applications, browser extensions, APIs, or related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Services.
These Terms apply to all users of the Services, including individuals, teams, and organizations. We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms.
2. Eligibility
You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use the Services. If you are using the Services on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.
3. Account Registration and Responsibilities
a. Account Creation. To access certain features, you must create an account and provide accurate and complete information (such as your name and email address). You agree to keep your information up to date.
b. Account Security. You are responsible for keeping your login credentials confidential. We strongly recommend using strong passwords and multi-factor authentication where available. You must notify us promptly at [email protected] if you suspect any unauthorized access to your account.
c. Account Use. You are responsible for all activity that occurs under your account. You may not share your credentials with others, resell access to the Services, or use your account in violation of applicable laws.
4. Use of Services
a. Permitted Use. Onu offers modules such as Ambient Awareness (e.g., passive emotion tracking, context summaries, reflections, self-nudges, real-time meeting capture) and Finance Intelligence (e.g., cash flow analysis, smart budgeting, subscription management, bill reminders, savings goals, investment and liability tracking).
You may use the Services for personal or internal business purposes in accordance with these Terms, our Privacy Policy and all applicable laws.
b. Prohibited Conduct. You agree that you will not:
- Use the Services for any unlawful, harmful, or abusive purpose.
- Attempt to access or modify systems or data you are not authorized to access.
- Interfere with or disrupt the integrity or performance of the Services.
- Upload or transmit malware, malicious code, or automated scraping scripts.
- Use the Services for high-risk operations where failure could lead to death, injury, or severe damage.
- Misrepresent your identity or impersonate other individuals or organizations.
5. Intellectual Property
a. Ownership. Onu and its licensors own all rights, title, and interest in and to the Services, including software, code, interfaces, designs, text, graphics, logos, and documentation. These are protected by copyright, trademark, and other intellectual property laws.
b. Limited License. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for your permitted use. You may not copy, modify, distribute, publicly display, or create derivative works from the Services except as expressly allowed under these Terms.
c. User Content. You retain ownership of content you submit to the Services, including audio, transcripts, notes, tasks, and financial categorizations ("User Content"). By using the Services, you grant us a worldwide, non-exclusive, royalty-free license to host, use, process, reproduce, and display your User Content solely to:
- Provide and maintain the Services.
- Improve and personalize features (e.g., recommendations, summaries, analytics).
- Troubleshoot, secure, and support the Services.
Where possible, we apply technical and organizational measures to keep your User Content private and secure, in accordance with our Privacy Policy.
6. Third-Party Integrations
The Services may integrate with third-party providers, including:
- Financial APIs such as Plaid or similar providers for secure, read-only access to your financial data.
- Email and Notification Services such as AWS SES for delivering account-related emails.
- Analytics and Error Monitoring tools used to improve performance and reliability.
These providers have their own terms and privacy policies. By enabling any integration, you authorize Onu to connect to and exchange data with the applicable third party on your behalf. We do not manually handle or view your bank account credentials; all sensitive authentication happens directly between you and the financial provider (e.g. Plaid) over encrypted connections.
7. Data and Privacy
Our Privacy Policy explains how we collect, use, and protect your personal data, including audio, transcripts, and financial information accessed via third-party APIs. By using the Services, you acknowledge and agree to our data practices as described there.
Financial Data. Financial account information is accessed through secure, read-only APIs like Plaid. We do not store or see your banking usernames, passwords, or multi-factor codes. We only receive the data needed to power Finance Intelligence features (such as cash flow analysis, budgeting, subscriptions, and liabilities) in accordance with your permissions.
8. Security, Encryption & Data Protection
We design Onu with security and privacy as first-class priorities. While no system can be guaranteed 100% secure, we implement industry-standard technical and organizational measures, including:
- Encryption in Transit: All data in transit is protected using TLS (HTTPS).
- Encryption at Rest: Stored data, including audio, transcripts, and financial data, is encrypted using strong, industry-standard encryption (such as AES-256).
- End-to-End Encryption for Audio & Transcripts: Where supported, audio and transcript content are encrypted from your device to our secure infrastructure, minimizing exposure in transit.
- Read-Only Financial Access: Financial APIs like Plaid provide tokenized, read-only access. We cannot move, withdraw, or modify funds in your accounts, and we do not manually handle your banking credentials.
- Access Controls: Internal access to production data is strictly limited, logged, and protected using role-based access control and multi-factor authentication.
- Monitoring & Reviews: We monitor for suspicious activity and regularly review our systems for potential vulnerabilities.
- User Controls: You can delete or export your data (including audio and transcripts) and adjust retention preferences where available.
You are responsible for maintaining the security of your devices and network, and for using strong, unique passwords for your Onu account.
9. Termination
a. By You. You may stop using the Services at any time. You may also request account deletion via in-app settings or by contacting [email protected]. Deleting your account will trigger deletion of associated data in accordance with our Privacy Policy, subject to limited retention in backups and logs where required for legal, security, or operational reasons.
b. By Us. We may suspend or terminate your access to the Services if:
- You materially breach these Terms or our Acceptable Use practices.
- We are required to do so by law or order of a court or governmental authority.
- We reasonably believe your use poses a security, legal, or financial risk to us or others.
10. Disclaimers
The Services are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Onu provides insights, summaries, and recommendations for awareness and planning purposes only. We do not provide legal, medical, tax, or investment advice. You are responsible for independently verifying any information before acting on it.
11. Limitation of Liability
To the maximum extent permitted by law, Onu and its affiliates, officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of, or inability to access or use, the Services.
- Any conduct or content of other users or third parties on or through the Services.
- Unauthorized access, use, or alteration of your transmissions or content.
In all cases, our total liability for any claims relating to the Services will be limited to the amount you paid us (if any) for the Services in the twelve (12) months immediately preceding the event giving rise to the claim.
12. Dispute Resolution
a. Governing Law. These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.
b. Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding arbitration, administered by the American Arbitration Association (AAA) under its applicable rules. Arbitration will take place in Delaware, USA, unless we mutually agree otherwise.
c. Class Action Waiver. You agree that disputes will be resolved only on an individual basis and not in a class, consolidated, or representative action.
d. Exceptions. Either party may seek injunctive or equitable relief for infringement or misuse of intellectual property rights in any court of competent jurisdiction.
13. Changes to These Terms
We may modify these Terms to reflect changes in the Services, legal requirements, or our business practices. When we do, we will update the "Last updated" date and may provide additional notice (such as email or in-app notifications). Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
